Terms of Service
In short: your organization owns everything it puts into BidderOps. We use it only to run the Service for you, keep it confidential, never sell it, and never use it to train AI models. AI output is decision support you should review. Don’t use the Service to break procurement or competition law.
1. The agreement
These Terms of Service (the “Terms”) are an agreement between Bidderist (“Bidderist”, “we”, “us”) and the organization or individual that uses BidderOps (the “Customer”, “you”). They cover the web application at bidderops.com, its APIs, the MCP integration, email notifications and any related services (together, the “Service”).
If you create or join an organization on behalf of a company or other entity, you confirm that you have authority to bind that entity to these Terms, and “you” refers to that entity. You must be at least 18 years old to use the Service.
The Privacy Policy and the Data Processing Addendum form part of these Terms. If a separately signed order form or agreement conflicts with these Terms, the signed document wins.
2. Accounts and organizations
Each workspace belongs to an organization. The organization’s owners and admins decide who is invited, which role each member holds, which features are switched on and which AI providers are used. Joint-venture partners invited to a single bid can see only that bid.
You are responsible for keeping sign-in credentials secure, for the accuracy of the information you give us, and for everything done under your organization’s accounts. Tell us promptly at security@bidderops.com if you believe an account has been compromised.
3. The Service and plans
We provide the Service under the plan your organization is on. Plan limits and included features are shown in Settings. We may improve, change or retire features over time; if we remove a material paid feature during a paid term we will give reasonable notice.
Features labelled early access, preview or beta are provided as they are, may change without notice and are excluded from any service commitments.
4. Your content and proprietary information
You own your content. Everything your organization puts into the Service, including opportunities, pricing, bid documents, notes, outcomes, competitor intelligence, references, CVs and files, together with the outputs the Service generates for you (“Customer Data”), remains yours. We claim no ownership of it.
You grant us a limited, non-exclusive licence to host, copy, transmit and process Customer Data only as needed to provide, secure and support the Service for you, and as described in the Data Processing Addendum. This licence ends when the Customer Data is deleted.
We will not:
- sell Customer Data or share it with other customers;
- use Customer Data to train or fine-tune any AI model, ours or anyone else’s;
- use your pipeline, pricing, win/loss or competitor information for benchmarking, market intelligence or any purpose that benefits another customer;
- access Customer Data except to provide support you request, keep the Service secure, or comply with law.
We may use aggregated, de-identified usage statistics (for example, how often a feature is used) to run and improve the Service, provided they do not identify you, your bids or any individual.
5. Confidentiality
“Confidential Information” means non-public information disclosed by one party to the other that is marked confidential or would reasonably be understood to be confidential. Customer Data is your Confidential Information. Non-public details of the Service, its security and its pricing are ours.
The receiving party will use the other party’s Confidential Information only to perform under these Terms, protect it with at least reasonable care, and share it only with personnel and subprocessors who need it and are bound by equivalent obligations.
These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known to it, is independently developed, or is lawfully received from a third party without restriction. If the law or a court requires disclosure, the receiving party will, where legally allowed, give prompt notice so the other party can seek protection. These obligations survive termination.
6. Our intellectual property
Bidderist owns the Service, including its software, design, documentation, scoring models, prompts and brand. Subject to these Terms, we grant you a non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription.
You will not copy, resell or sublicense the Service, reverse engineer it except where the law expressly permits, use it to build a competing product, or remove proprietary notices. If you send us feedback or suggestions, we may use them without obligation to you.
7. AI features
AI features run on the model providers your organization configures, using API keys your organization supplies, or on a local model endpoint you operate. When you use them, the relevant Customer Data is sent to that provider under your organization’s own agreement with it. You are responsible for choosing providers whose terms and data locations suit you.
AI output can be incomplete or wrong. Go/No-Go advice, win probabilities, RFx analysis, intelligence dossiers, tailored CVs and other generated content are decision support, not professional, legal or procurement advice. Review every output before relying on it or submitting it to a contracting authority. You own the outputs generated for you.
8. Personal data you upload
For personal data in Customer Data (for example expert CVs, contacts at contracting authorities, JV partner staff, or named individuals in intelligence reports) you are the controller and we are your processor. You are responsible for having a lawful basis to process it, for giving any notices required (including telling experts that their CVs are held in BidderOps), and for not uploading special-category data such as health information unless you have a lawful basis to do so.
The Data Processing Addendum governs our processing of that data and applies automatically to every customer.
9. Acceptable use
You must not use the Service to:
- coordinate bids with competitors, rig or allocate tenders, or otherwise breach procurement, competition or anti-corruption law;
- upload material you have no right to hold, including another bidder’s confidential submission or restricted tender documents obtained improperly;
- infringe anyone’s intellectual property, privacy or other rights;
- breach applicable sanctions or export control laws;
- probe, scan or test the Service’s security without our written permission, or circumvent access controls, usage limits or plan restrictions;
- scrape the Service, overload it, or interfere with other customers’ use;
- upload malware or content that is unlawful, harassing or deceptive.
We welcome good-faith security reports at security@bidderops.com.
10. Tender data and third-party services
Discovery imports notices from public sources such as TED and the World Bank, and Bid Intelligence searches the public web. We do not control those sources and do not guarantee that imported notices, deadlines or research are complete, current or accurate. Always confirm details against the official tender documents. Third-party services you connect (AI providers, MCP clients, Google sign-in) are governed by their own terms.
11. Fees
Paid plans are billed as agreed when the plan is approved or in your order form. Fees are exclusive of taxes, which you are responsible for except taxes on our income. We may change plan prices for future terms with at least 30 days’ notice. Free plans may be changed or withdrawn at any time.
12. Suspension, termination and your data
You can stop using the Service at any time. An organization owner can delete the organization in Settings, and any user can delete their own account from their profile.
We may suspend or terminate access if you materially breach these Terms and do not cure the breach within 14 days of notice, immediately if needed to prevent harm to the Service or others, or if required by law.
Before deleting an organization, export what you need. Deletion is permanent: live data is removed immediately and residual copies in encrypted backups are overwritten within 30 days. Sections that by their nature should survive (including ownership, confidentiality, disclaimers, liability and governing law) survive termination.
13. Disclaimers
We will provide the Service with reasonable skill and care. Otherwise, to the extent the law allows, the Service is provided “as is” and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that you will win any tender or that the Service will be uninterrupted or error-free.
14. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, contracts or tenders, and each party’s total liability arising out of these Terms in any 12-month period is limited to the greater of the fees you paid us in that period and EUR 100.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.
15. Indemnity
You will defend and indemnify Bidderist against third-party claims arising from Customer Data you upload without the necessary rights, or from your breach of the Acceptable use section, and pay resulting damages and reasonable costs finally awarded or agreed in settlement.
16. Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days’ notice by email or in the app before they take effect. Continuing to use the Service after that date means you accept the updated Terms; if you do not accept them, you may stop using the Service before they take effect.
17. Governing law
These Terms are governed by the laws of the country in which Bidderist is established, and its courts have exclusive jurisdiction over any dispute arising from them. This does not remove any mandatory protection you have under the law of the country where you live.
18. General
You may not assign these Terms without our consent; we may assign them to a successor in a merger or sale of our business. If any provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control.
